Terms of Service
Please read these terms carefully before using LightYear Cloud services. By accessing or using our platform, you agree to be bound by these terms.
1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and LightYear Cloud Ltd. ("LightYear," "we," "us," or "our"), governing your access to and use of the LightYear Cloud platform, including all cloud computing services, storage services, networking services, managed databases, and related tools and APIs (collectively, the "Services").
By creating an account, accessing the Services, or clicking "I agree," you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization.
If you do not agree to these Terms, you must not access or use the Services.
2. Description of Services
LightYear Cloud provides cloud infrastructure services including, but not limited to:
- Cloud Compute: Virtual private servers (VPS) with flexible CPU, RAM, and storage configurations available across 16+ global regions.
- Optimized Compute: High-performance dedicated CPU instances for compute-intensive workloads.
- Object Storage: Scalable, S3-compatible object storage for unstructured data.
- Block Storage: Persistent, high-performance NVMe block storage volumes attachable to compute instances.
- Managed Databases: Fully managed MySQL, PostgreSQL, and Redis database clusters with automated backups and failover.
- Load Balancers: Managed layer-4 and layer-7 load balancing with SSL termination.
- Firewalls: Stateful cloud firewalls for network-level security.
- Backups: Automated and on-demand server snapshots and backups.
We reserve the right to modify, suspend, or discontinue any Service (or any part thereof) at any time with reasonable notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of Services.
3. Accounts & Registration
3.1 Account Creation
To access the Services, you must register for an account by providing accurate, current, and complete information. You agree to maintain and promptly update your account information to keep it accurate, current, and complete.
3.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials, including your password and API keys. You are solely responsible for all activities that occur under your account. You must immediately notify us at [email protected] of any unauthorized use of your account or any other breach of security.
3.3 Age Requirement
You must be at least 18 years of age to create an account and use the Services. By creating an account, you represent that you are at least 18 years old.
3.4 One Account Per Person
Each individual may maintain only one personal account. Organizations may maintain separate accounts for different teams or projects, subject to our fair use policies.
4. Billing & Payment
4.1 Pricing
Services are billed on an hourly basis unless otherwise specified. Current pricing is available at lightyear.host/pricing. We reserve the right to change pricing with 30 days' notice via email or dashboard notification.
4.2 Payment Methods
We accept major credit cards and debit cards. By providing payment information, you authorize us to charge your payment method for all fees incurred. All charges are in US Dollars (USD) unless otherwise stated.
4.3 Prepaid Credits
LightYear Cloud operates on a prepaid credit system. You must maintain a positive account balance to deploy and operate Services. We will send email notifications when your balance falls below configurable thresholds. Services may be suspended if your balance reaches zero.
4.4 Taxes
All fees are exclusive of applicable taxes. You are responsible for paying all taxes, levies, or duties imposed by taxing authorities in connection with your use of the Services.
4.5 Refunds
Unused prepaid credits are generally non-refundable. Exceptions may be made at our sole discretion for billing errors or service outages that fall below our SLA commitments. Refund requests must be submitted within 30 days of the charge.
4.6 Disputed Charges
If you believe a charge is incorrect, please contact [email protected] within 30 days of the charge date. Chargebacks initiated without first contacting us may result in account suspension.
5. Acceptable Use
Your use of the Services is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. You agree not to use the Services for any unlawful purpose or in any way that violates these Terms or our Acceptable Use Policy.
Prohibited activities include, but are not limited to: hosting malware, conducting DDoS attacks, sending unsolicited email (spam), cryptocurrency mining without prior written consent, and any activity that violates applicable law.
6. Intellectual Property
6.1 LightYear IP
The Services, including all software, documentation, trademarks, logos, and content provided by LightYear, are the exclusive property of LightYear Cloud Ltd. and are protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Services solely as described in these Terms.
6.2 Your Content
You retain all ownership rights to data, content, and applications you store or run on the Services ("Customer Content"). You grant LightYear a limited license to host, store, transmit, and process your Customer Content solely as necessary to provide the Services.
6.3 Feedback
If you provide feedback or suggestions about the Services, you grant us a perpetual, irrevocable, royalty-free license to use such feedback for any purpose without compensation to you.
7. Privacy
Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection and use of your information as described in our Privacy Policy.
8. Service Level Agreement
LightYear Cloud commits to a 99.99% monthly uptime SLA for Compute and Storage services. Full details of our uptime commitments, measurement methodology, and credit structure are available in our Service Level Agreement.
9. Termination
9.1 Termination by You
You may terminate your account at any time by contacting [email protected] or through the account settings in your dashboard. Upon termination, all running services will be stopped and data will be permanently deleted within 30 days.
9.2 Termination by LightYear
We may suspend or terminate your account immediately, without prior notice or liability, if: (a) you breach these Terms; (b) your account balance is negative for more than 7 days; (c) we determine your use of the Services poses a security risk; or (d) we are required to do so by law.
9.3 Effect of Termination
Upon termination, your right to use the Services immediately ceases. All data stored on our platform may be permanently deleted. We are not responsible for any loss of data upon termination.
10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.
LIGHTYEAR DOES NOT WARRANT THAT: (A) THE SERVICES WILL FUNCTION UNINTERRUPTED, SECURE, OR AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY ERRORS OR DEFECTS WILL BE CORRECTED; (C) THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE SERVICES WILL MEET YOUR REQUIREMENTS.
11. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LIGHTYEAR, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICES.
IN NO EVENT SHALL LIGHTYEAR'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF: (A) THE AMOUNT YOU PAID TO LIGHTYEAR IN THE 12 MONTHS PRECEDING THE CLAIM; OR (B) USD $100.
12. Indemnification
You agree to defend, indemnify, and hold harmless LightYear and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your Customer Content; (c) your use of the Services; or (d) your violation of any third-party rights.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Singapore.
If you are a consumer located in the European Union, you may also have rights under the laws of your country of residence.
14. Changes to Terms
We reserve the right to modify these Terms at any time. We will provide notice of material changes by: (a) posting the updated Terms on our website with a new "Last Updated" date; and (b) sending an email to the address associated with your account at least 14 days before the changes take effect.
Your continued use of the Services after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Services.
